Terms of Service
These Terms of Service govern the use of Praesto, a management software (SaaS) for hospitality operations (standard operating procedures, staff shifts, monitoring), provided by Mademind. Praesto is currently in beta/evaluation: some features may change or be discontinued without extended notice.
1. Acceptance of terms
By creating an account or using Praesto you accept these Terms and the Privacy Policy (see section 6). If you do not accept them, you may not use the service.
2. Service description
Praesto provides modules for: standard operating procedures (SOPs), staff shift planning, and checklist/report monitoring. The service is multi-tenant: each customer property ("tenant") operates in an environment isolated from other customers.
3. Account and property owner responsibilities
- The person creating the account (the "property owner") is responsible for the accuracy of the data provided at signup (company name, property name) and for managing the users they invite within their own tenant.
- Login credentials are personal; the owner is responsible for their staff's correct use of credentials.
- Content uploaded to the platform (procedures, shift data, reports) remains the customer's property; Mademind processes it under the DPA agreement (see section 6).
4. Acceptable use
You may not: use the service for unlawful purposes; attempt to compromise security or tenant isolation; reverse engineer the software; deliberately overload the infrastructure; or use other users'/tenants' data without authorization.
5. Availability and no warranty (beta)
The service is provided "as-is", with no guarantee of continuous availability, particularly during the beta/evaluation phase. No formal service-level agreement (SLA) is currently in place; interruptions may occur for maintenance or due to the evolving nature of the product. 6. Personal data processing
Personal data processing is described in the Privacy Policy. For customer staff data processed inside the platform, a data processing agreement (DPA) also applies between Mademind (processor) and the customer (controller).
7. Limitation of liability
To the maximum extent permitted by applicable law, Mademind is not liable for indirect damages, data loss, or lost profit arising from use of the service, except in cases of willful misconduct or gross negligence. Nothing in these Terms excludes liability that cannot be excluded by law. [TO COMPLETE: possible liability cap, to be defined with legal counsel based on the commercial contract with the customer.]
8. Changes to these Terms
These Terms may be updated; the current version is always published on this page, with its version date. Continued use of the service after an update constitutes acceptance of the new Terms.
9. Governing law and jurisdiction
These Terms are governed by Italian law. Any dispute is subject to the exclusive jurisdiction of the Court of [TO COMPLETE], without prejudice to mandatory consumer forum rules where applicable.
